Terms of Service

2026-07-17

These Terms of Service (the “Terms”) govern the rights, obligations and responsibilities between Morigram (the “Company”) and members in connection with the use of the photo and video upload, storage, sharing and related services provided by the Company (the “Service”).

These Terms take effect on July 17, 2026. The former separate Cookie Policy has been consolidated into Article 22 of these Terms and into the Privacy Policy.

Article 1 (Purpose)

These Terms set out the conditions and procedures for using the Service, the rights, obligations and responsibilities of the Company and members, and other necessary matters.

Article 2 (Definitions)

  1. “Service” means all services provided by the Company that allow members to upload, store, manage and share content such as photos and videos and to operate brands/teams and albums.
  2. “Member” means a person who agrees to these Terms, enters into a service agreement with the Company and uses the Service.
  3. “Content” means any material such as photos, videos and text that a member uploads to or creates on the Service.
  4. “Plan” (paid service) means a paid subscription tier offered by the Company, including its storage capacity, page limits, transfer allowance and AI feature usage.
  5. “Auto-renewing subscription” means a form of use in which the Plan is automatically charged to the registered payment method and renewed at each billing cycle (monthly or yearly) unless the member cancels.
  6. “AI Features” means features that, at the member’s request, use artificial-intelligence models to analyze content or automatically generate album/page structures.
  7. “Brand page address” means identifiers such as handles, path names or domains used to access a member’s brand page.
  8. Terms not defined herein follow applicable laws and general commercial practice.

Article 3 (Posting and Amendment of the Terms)

  1. The Company posts these Terms on the Service screen so that members can easily review them.
  2. The Company may amend these Terms to the extent not in violation of applicable laws, including the Act on the Regulation of Terms and Conditions and the Act on Consumer Protection in Electronic Commerce of the Republic of Korea.
  3. When amending the Terms, the Company will announce the effective date and reasons at least 7 days before the effective date; for amendments unfavorable to members, at least 30 days in advance with individual notice under Article 4.
  4. A member who does not express refusal by the effective date is deemed to have agreed to the amended Terms. A member who does not agree may terminate the service agreement.

Article 4 (Notice to Members)

  1. Where the Company needs to notify a member, it does so individually via the member’s registered email address or in-service notification.
  2. Notice to all members may be given by posting on the Service announcements for at least 7 days in lieu of individual notice; provided that matters materially affecting a member’s transactions, such as payments, are notified individually.
  3. Where notice does not reach a member because the member registered an incorrect email address or failed to update it, notice is deemed to have arrived when the Company gave it by the above methods.

Article 5 (Formation of the Service Agreement)

  1. The service agreement is formed when a user agrees to the Terms, applies for membership and the Company accepts the application.
  2. The Company may refuse or subsequently terminate applications that fall under any of the following:
    1. Using another person’s identity or information, or providing false information
    2. Applicants under 14 years of age
    3. Previous suspension or disqualification for violating these Terms
    4. Failure to meet other application requirements set by the Company

Article 6 (Management of Account Information)

  1. Members are responsible for managing their account (email, password, etc.) and may not transfer or lend it to third parties.
  2. If a member becomes aware that their account has been stolen or is being used by a third party without authorization, the member must immediately notify the Company and follow its instructions.
  3. The Company is not liable for disadvantages arising from a member’s failure to notify or to follow the Company’s instructions.

Article 7 (Brand Page Addresses)

  1. Members may set their brand page address according to the rules set by the Service.
  2. The Company may require a member to change an address, or suspend or reclaim an address, in any of the following cases:
    1. The address infringes or is likely to infringe another person’s trademark, trade name, name or other rights
    2. The address impersonates, or is likely to cause confusion with, the Company, another person or a particular institution
    3. The address is contrary to public order and morals or violates the law
    4. An address unused for a substantial period needs to be reclaimed for the operation of the Service
  3. When taking measures under paragraph 2, the Company gives prior notice and an opportunity to set an alternative address; in urgent cases, notice may be given afterwards.

Article 8 (Provision and Modification of the Service)

  1. The Company provides members with: content upload/storage/management, brand/team and album management, content sharing/delivery, AI Features, and other services determined by the Company.
  2. The Company may modify the Service and will announce the changes and their effective date in advance.
  3. The Company may modify, suspend or change all or part of the free Service according to its policies and operational needs.

Article 9 (Suspension of the Service)

  1. The Company may temporarily suspend all or part of the Service for unavoidable reasons such as system inspection, maintenance, replacement, communication failure, force majeure, or failures of subcontractors (storage, CDN, payment processors, etc.).
  2. The Company will give prior notice of such suspension; where prior notice is impossible due to urgent reasons, notice may be given afterwards.

Article 10 (Use of Paid Services and Payment)

  1. Plan fees, billing cycles and included features (storage, page limits, monthly transfer allowance, AI usage, etc.) follow what is posted on the pricing page.
  2. Payments are processed by the following payment providers:
    1. KRW payments: Toss Payments Co., Ltd.
    2. USD payments: Creem. Creem acts as the Merchant of Record and is responsible for billing, tax handling and payment-related disputes for those transactions; Creem’s name may appear on the member’s payment statement.
  3. Paid Plans are provided as auto-renewing subscriptions by default. Unless the member cancels, the Plan is automatically renewed and charged each billing cycle. The Company notifies the member of the upcoming renewal and the amount by email and in-service notification 7 days before the renewal date.
  4. Members may cancel auto-renewal at any time before the next billing date on the subscription management page. Upon cancellation, billing stops from the next cycle and the member may continue to use the Service for the period already paid.
  5. If an automatic charge fails, the Company notifies the member and retries for a certain period. If renewal ultimately fails due to repeated payment failures, the Plan expires and Article 15 applies.
  6. When changing Plan prices or included features, the Company announces the change at least 30 days before the effective date (7 days for changes not unfavorable to members). Price changes do not affect periods already paid for, and the renewal amount for members on auto-renewing subscriptions remains the amount fixed at the time of subscription. Where a renewal amount must unavoidably change, the Company gives individual notice at least 30 days before the renewal date, and the member may cancel before renewal.

Article 11 (Plan Changes)

  1. An upgrade to a higher Plan takes effect immediately upon payment. The remaining period of the existing Plan does not lapse; it is converted into an equivalent period of the new Plan in proportion to the monthly fees of the two Plans and added to the new subscription period.
  2. Before an upgrade payment, the Company discloses the converted period, the payment amount and the resulting expiry date, and payment proceeds only after the member reviews and approves them.
  3. A downgrade to a lower Plan is available only after the current Plan period expires. Mid-term downgrades and related partial refunds are not provided. Members on auto-renewing subscriptions may cancel auto-renewal and purchase the desired Plan when the current period ends.
  4. When extending or renewing the same Plan, the remaining period carries over in full.

Article 12 (Withdrawal of Offer and Refunds)

  1. Members paying in KRW may receive refunds according to the following:
    1. Within 7 days of the first payment, where the paid benefits for that billing period have not been used: full refund (statutory withdrawal under the Act on Consumer Protection in Electronic Commerce).
    2. For auto-renewal charges, within 7 days of the renewal date where the paid benefits for the renewed period have not been used: full refund.
    3. Other mid-term cancellations: no refund; the Service remains available until the end of the paid period.
    4. Mid-term refunds of yearly payments are not provided in principle.
    5. Where the member could not normally use the Service due to reasons attributable to the Company: pro-rata refund for the unusable period.
  2. “Use of paid benefits” in paragraph 1 means using features provided by the paid Plan during the billing period, such as uploading content, publishing albums or brand pages, or using AI Features. Where the commencement of digital content provision restricts statutory withdrawal, the Company discloses this before payment.
  3. USD payments are processed through Creem as the Merchant of Record; refund procedures follow Creem’s policies, and the Company will ensure that the standards in paragraph 1 are applied correspondingly. Refund requests may be made through customer support ([email protected]) or Creem’s customer channels.
  4. Once a refund is confirmed, the Company requests the refund (payment cancellation) from the payment provider within 3 business days. The actual credit timing may vary depending on the payment method and card issuer.
  5. Plan benefits corresponding to a refunded payment end at the time of the refund.
  6. Periods or benefits acquired free of charge through events or promotions, without payment by the member, are not subject to refund.

Article 13 (Erroneous Charges)

  1. Where an erroneous charge occurs due to a payment error or duplicate payment, the Company refunds the full erroneous amount. However, where the erroneous charge arose from causes attributable to the member, the Company may deduct reasonable costs incurred in processing the refund.
  2. The Company may request information necessary for the refund from the member, and processes the refund within 7 days from the date the necessary information is provided.
  3. The Company may refuse a refund where it proves that the charge was lawfully made.

Article 14 (Payments by Minors)

Payments for paid services by members under 19 years of age must be made in the name of, or with the consent of, their legal representative. A payment made without such consent may be cancelled by the minor or the legal representative; provided that cancellation is not available where the minor deceived the Company into believing that the minor was an adult or that the legal representative’s consent had been given.

Article 15 (Plan Expiry and Data Handling)

  1. When a paid Plan expires (including cancellation of auto-renewal or payment failure), the existing Plan’s features remain available during a 7-day grace period from the expiry date. If payment is made within the grace period, the Service continues without interruption.
  2. After the grace period, the account is switched to the free Plan. If stored content exceeds the free Plan’s limits, the Company may take the following measures to protect the content:
    1. Unpublishing (switching to private) public albums and brand pages, and locking the publish setting
    2. Restricting new content uploads and bulk downloads
  3. If no payment is made within 90 days from the expiry date, the Company may permanently delete content exceeding the free Plan’s limits, starting from the oldest. Deleted content cannot be recovered.
  4. The Company provides notice by email and in-service notification before each stage described above; in particular, a final warning is sent 7 days before content deletion.
  5. If the member repurchases a paid Plan before deletion, albums and brand pages unpublished under paragraph 2 are automatically restored.
  6. Members must back up, in advance and at their own initiative, any content they need to keep that may be deleted under this Article or upon termination or withdrawal. The Company bears no obligation to restore, and no liability for, content deleted after following the notice procedures of this Article.

Article 16 (Fair Use)

  1. Monthly content transfer (traffic) allowances per Plan follow what is posted on the pricing page.
  2. If monthly transfer exceeds the allowance, the Company notifies the member. Where excess use is repeated or clearly beyond normal use, the Company may take necessary measures such as limiting transfer speed or volume, or requesting an upgrade to a higher Plan.

Article 17 (AI Features)

  1. Monthly AI usage limits vary by Plan and follow what is posted on the pricing page. Usage is deducted only for successful requests.
  2. When a member uses AI Features, the content to be processed (images and related information) is transmitted to and processed by external AI model providers. Details are governed by the Privacy Policy.
  3. Output generated by AI Features (titles, descriptions, classifications, etc.) may be inaccurate or inappropriate. Members are responsible for reviewing output before publishing or using it, and the Company does not warrant its accuracy or completeness.

Article 18 (Member Obligations)

  1. Members must not:
    1. Steal another person’s information or register false information
    2. Upload or share content infringing intellectual property, portrait rights, personal data or other rights of the Company or third parties
    3. Post obscene, violent or illegal content or content contrary to public order and morals
    4. Interfere with normal operation of the Service, access it abnormally, or perform automated collection/crawling
    5. Copy, decompile, imitate, reverse engineer, or attempt to extract the source code of the Service or software included in it
    6. Impersonate the Company, Service operators or employees
    7. Obstruct business through abusive language or sexual harassment toward customer support, or repeated complaints without justifiable cause
    8. Engage in commercial activities using the Service without the Company’s prior consent
  2. Members must hold lawful rights to the content they upload, and where content includes third parties’ personal data or rights, must secure lawful authority to post and publish it.

Article 19 (Copyright and Management of Content)

  1. Copyright in content posted by a member belongs to that member.
  2. The Company may use members’ content within the scope necessary to operate, display, transmit and promote the Service. Any use beyond this scope requires the member’s separate consent.
  3. Where a member’s content is deemed to infringe others’ rights or violate laws or these Terms, the Company may unpublish, delete or restrict access to the content after prior notice (or after the fact in urgent cases).
  4. Where reports on content accumulate beyond a certain threshold, the Company’s systems may automatically and temporarily unpublish the content pending review. The poster may object through customer support, and the Company decides whether to restore the content after review.
  5. When a member terminates the agreement or loses membership, the member’s content is deleted in accordance with applicable laws and the Privacy Policy; provided that content with report history may be preserved as evidence within the scope permitted by law, for responding to illegal-content reports and cooperating with investigations.

Article 20 (Use Restrictions and Termination)

  1. If a member violates these Terms or applicable laws, the Company may restrict use in stages, such as warning, temporary suspension or permanent suspension.
  2. Members may request termination (account withdrawal) at any time via the in-service menu or customer support, and the Company processes it without delay in accordance with applicable laws.
  3. Upon withdrawal, the member’s personal data and content are destroyed and deleted according to the procedures and periods in the Privacy Policy. Members must back up content they need before withdrawing. The refund standards of Article 12 apply equally when withdrawing during a paid Plan; any remaining period not subject to refund lapses upon withdrawal.

  2. The cookies used are strictly necessary cookies (session identifier, sign-in persistence) and functional cookies (language settings, etc.). Signed-in sessions are retained for up to 1 year; signed-out sessions are automatically destroyed after 48 hours.
  3. Members may refuse or delete cookies via browser settings; refusing strictly necessary cookies may limit use of the Service, including sign-in.
  4. Details on cookie types, third-party cookies and consent for users in Europe are set out in Article 9 of the Privacy Policy.

Article 23 (Damages)

  1. Where the Company or a member causes damage to the other party by violating these Terms, the party at fault is liable to compensate for the damage.
  2. Where the Company receives a claim for damages, a lawsuit or any other objection from a third party because a member violated these Terms or applicable laws, or because the member’s content infringed a third party’s rights, the member must indemnify and hold the Company harmless at the member’s own responsibility and expense; where the Company is not held harmless, the member must compensate the Company for the resulting damage, including reasonable legal costs.

Article 24 (Disclaimer)

  1. The Company is not liable for damage caused by force majeure or by the willful misconduct or negligence of members or third parties.
